Terms and conditions for the use of this site by Suppliers of Products to Our Shop and/or suppliers with a listing in Our Directory.

Please note that our Shop has multiple Suppliers.

Please read these terms and conditions carefully, they contain important information about Supplier’s rights and obligations.

1.
Introduction
1.1 Please read these terms and conditions carefully before using the website situated at www.weddingplanner.co.uk (“Our Website”) operated by Wedding Planner Media Limited (“our”, “we” or “us”) (Company Number: 6133202 and VAT number: 547 2560 36 ). By accessing or using the shop facility at www.weddingplanner.co.uk/shop (“Our Shop”) or advertising in our Directory url: www.weddingplanner.co.uk/directorysearch.wp (“Our Directory”) you, the supplier (the “Supplier”), agree to be legally bound by these terms and conditions and for the sale of Products through Our Shop the sale and purchase terms and conditions (the “Sale and Purchase Agreement”) set out below as they may be modified and posted on our website from time to time. Any other use of Our Website is governed by the terms and conditions of purchase for customers and/the terms of use for forums.
1.2 We hope that these terms and conditions are acceptable to the Supplier and that the Supplier will enjoy using Our Shop and/or Our Directory but if the Supplier does not wish to be bound by these terms and conditions then the Supplier may not use Our Shop or Our Directory and should exit now.
2.
Nature of Our Website
2.1 Our Shop provides a place for the Supplier to sell wedding products (the “Products”) to customers via Our Shop.
2.2 Our Directory provides a place for the Supplier to advertise the Supplier’s services (the “Services).
2.3 These terms and conditions form a legally binding contract between the Supplier and us in relation to the use of Our Shop and our Directory and the Sale and Purchase Agreement forms a legally binding contract between the Supplier and the customer in each case in relation to the sale and purchase of Products. When the Supplier sells Products we are not acting as principal or agent and the transaction is entered into between the Supplier and the respective customer in each case pursuant to the Sale and Purchase Agreement. When the Supplier is contacted by a customer in relation to Services listed in Our Directory then the transaction for the supply of services is entered into between the Supplier and the customer on the Supplier’s terms and conditions or as otherwise agreed between the Supplier and the customer.
2.4 We have no liability to the Supplier for the Suppliers use of Our Website and/or for a customer’s behaviour and payment and the Supplier contracts with a customer at the Supplier’s own risk.
2.5 Please note that Our Shop and Our Directory are only available to Suppliers that can form legally binding contracts under UK law.
3.
Supplier’s Obligations
3.1 The Supplier has the following obligations:
3.1.1 The Supplier shall ensure that the descriptions of Services, Products, price and stock quantities are at all times accurate and not misleading;
3.1.2 The Supplier shall comply with the delivery obligations for the sale of Products set out in the Sale and Purchase Agreement (clause 2) and adhere to the charges set out in the Sale and Purchase Agreement (clause 1.2);
3.1.3 The Supplier shall notify us of any returns of Products (supplying a reason for the return in each case) and comply with the returns obligations for the sale of Products set out in the Sale and Purchase Agreement (clause 4);
3.1.4 The Supplier shall set up and keep for the duration of this agreement a PayPal account www.paypal.co.uk;
3.1.5 The Supplier shall only process customer data for the purposes stated in the Sale and Purchase Agreement (clause 5) and shall keep in place adequate security to protect such data and shall not under any circumstances give or sell such data to a third party.
4.
Payment
4.1 The Supplier shall pay to us the agreed percentage commission of all proceeds received as the result of sales of Products net of any delivery charges via Our Shop. We shall charge VAT at the prevailing rate in addition to the agreed percentage of commission of proceeds. All Product prices must include the applicable VAT. It is the Supplier’s responsibility to determine, collect and remit the applicable VAT to HM Customs & Excise.
4.2 We shall raise an invoice at the end of each month in arrears and send this to the Supplier by email to the address that the Supplier notifies to us and the Supplier shall pay the amount invoiced in full within 14 days of receipt.
4.3 We shall charge interest at the rate of 4% above the prevailing base rate of Barclays Bank Plc from time to time per year calculated and accruing on a daily basis from the date of default in the event of late payment.
4.4 In the event of returns of Goods we will refund any commission that we have charged to the Supplier but the Supplier may not set this off against any amounts owed or due and payable to us.
4.5 Use of the Directory is without charge unless the Supplier purchases sponsored, banner or side square format advertising from us as detailed in the “To Advertise” section of our Website in which case the Supplier shall pay the appropriate fees to us.
5.
Restrictions
The Supplier shall not sell or provide Services for any of the following prohibited items via Our Shop or our Directory:
- Offensive material
- Obscene material
- Stolen goods
- Intoxicating liquor and tobacco (except where the Supplier is properly licensed)
- Illegal or prescription drugs
- Items that infringe another party’s copyright, patent, trademark, design right, or any other intellectual property right
- Products whose sale or distribution is prohibited by any applicable law
- Any other products that in our discretion we consider are to be excluded
6.
Modifications to Our Website
We reserve the right to make changes or corrections, alter, suspend or discontinue any aspect of Our Website, Our Directory and Our Shop or the Products or Services available through it, including access to and the sale of Products through Our Shop and Services through Our Directory. Unless explicitly stated to the contrary, any new features including without limitation new content, and/or the sale of new Products and/or the advertising of new Services shall be subject to these terms and conditions.
7.
Supplier’s Information
7.1 The following applies to any information the Supplier provides to us or to any customer:
7.1.1 The Supplier undertakes that all details that the Supplier provides to us, on Our Shop and/or our Directory will be correct; and
7.1.2 The Supplier authorises us to use, store or otherwise process any personal or other information which relates to and identifies the Supplier, including but not limited to name and address, to the extent reasonably necessary to provide the services which are available through Our Website by us.
7.2 By accepting these terms and conditions, the Supplier agrees to the processing and disclosure of the information supplied for the purposes of this Agreement. If the Supplier would like to review or modify any information then please e-mail us at support@weddingplanner.co.uk.
8.
Indemnity
The Supplier agrees to fully indemnify us and keep us fully indemnified against any loss damage or costs incurred by us as the result of the Supplier’s use of Our Shop and/or Our Directory howsoever and whensoever arising.
9.
Term and Termination
9.1 This agreement is for the period of twelve months from the date of the Supplier clicking the “I accept” button and continuing thereafter subject always to either party having the right to terminate this agreement at any time after the initial twelve months by giving six months notice to expire at any time after the initial twelve months.
9.2 This agreement may be terminated immediately at any time if either party is in material breach of any of the terms of this agreement and for the avoidance of doubt any breach of clauses 3, 4 or 5 constitute a material breach.
9.3 Upon termination the Supplier shall immediately remove all advertising from our Directory and all Products from Our Shop and we shall have the right to do this in the event that the Supplier does not do so.
10.
Availability
We will try to make Our Website, Our Shop and Our Directory available but cannot guarantee that it will operate continuously or without interruptions or be error free and can accept no liability for its unavailability. The Supplier must not attempt to interfere with the proper working of any part of Our Website and, in particular, the Supplier must not attempt to circumvent security, tamper with, hack into, or otherwise disrupt any part of Our Website.
11.
Security
The Supplier is solely responsible in all respects for all use of and for protecting the confidentiality of any username, e-mail verification and password that may be given to the Supplier or selected by the Supplier for use on Our Directory or in Our Shop. The Supplier may not share these with or transfer them to any third parties. The Supplier must notify us immediately of any unauthorised use of them or any other breach of security regarding Our Website that comes to the Supplier’s attention.
12.
Intellectual Property Rights
The contents of Our Website are protected by international copyright laws and other intellectual property rights. Wedding Planner Media Limited is the owner of the copyright and the unregistered trade mark “The Wedding Planner” and all rights are reserved. All product and company names and logos mentioned in Our Website are the trade marks, service marks or trading names of their respective owners, including us. The Supplier may not modify, copy, reproduce, republish, upload, post, transmit or distribute, by any means or in any manner, any material or information on or downloaded from our website including but not limited to text, graphics, video, messages, code and/or software without our prior written consent except when expressly requested to do so.
13.
General
13.1 We may alter these terms and conditions and the Sale and Purchase Agreement from time to time and post the new versions on Our Website, following which all use of Our Shop and Our Directory will be governed by that version. The Supplier must check the terms and conditions regularly.
13.2 These terms and conditions together are the whole agreement between the Supplier and us. The Supplier acknowledges that it has not entered into this agreement in reliance upon any statement, warranty or representation made by us or any other person and irrevocably and unconditionally waives any rights to claim damages and/or to rescind these terms and conditions by reason of any misrepresentation (other than a fraudulent misrepresentation) that is not contained in these terms and conditions.
13.3 If any provision or term of these terms and conditions shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such term or provision shall be divisible from the other terms and conditions and shall be deemed to be deleted from them.
13.4 The Supplier shall not upload, post, email or otherwise transmit any unsolicited or unauthorised advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation to customers that come to them via Our Shop or Our Directory.
13.5 These terms and conditions and the Supplier’s use of our website are governed by English law and we and the Supplier submit to the non-exclusive jurisdiction of the English court.
13.6 These terms and conditions do not confer any rights on any person or party (other than the Supplier and/or us) pursuant to the Contracts (Rights of Third Parties) Act 1999.
14.
Notices
14.1 All notices shall be given to the email or postal address supplied by the Supplier whilst registering in Our Shop or our Directory and the Supplier should send them to support@weddingplanner.co.uk or Wedding Planner Media Ltd., 23 Great Pulteney Street, Bath, BA2 4BU.
14.2 Notice will be deemed received when an e-mail is received in full (or else on the next business day if it is received on a weekend or a public holiday in the place of receipt) or 3 days after the date of posting.

Replacement
These terms and conditions replace all other terms and conditions previously applicable to the use of Our Shop and Our Directory.
