Sale and Purchase Agreement for the Online Shop

These terms and conditions govern the sale and purchase of products (“Products”) through the online Shop at www.weddingplanner.co.uk/shop (the “Shop”) between a customer (“you”) and a supplier (the “Supplier”).

1.
Purchasing a Product
1.1 To order a Product from the Supplier you will need to follow the ordering procedures set out on the order page. Details of the prices for the Products, and the procedures for payment and delivery are displayed in the Shop.
1.2 You must pay by credit or debit card at the time of order. Payments for Products are made directly to the Supplier not to the Shop. The price of any Product is the price shown at the date and time of your order. If you are purchasing from a country other than the UK then you are responsible for paying any additional tax or customs duty. The prices are exclusive of delivery costs.
1.3 The Supplier is entitled to refuse any order placed by you. If your order is accepted by the Supplier then the Supplier will confirm acceptance to you by an e-mail (the “Confirmation”) to the e-mail address you have given to the Shop on registration.

Delivery of Products
The Supplier shall make all reasonable effort to deliver goods within 3 days of you placing your order, but does not accept liability for any failure to deliver within that time. If you would like your Products to be delivered by alternative means then advertised please contact the Supplier using the contact details supplied on the order page and the Supplier may, at the Supplier’s discretion, provide an alternative means.

Customer Warranty
You undertake that all details that you provide to the Supplier for the purpose of purchasing Products which may be offered by the Supplier in the Shop will be correct, that the credit or debit card, which you use is your own and that there are sufficient funds or credit facilities to cover the cost of any Products.
4.
Returns
4.1 Subject to the exceptions set out in clause 4.2 you may return Products you have purchased within 14 days of delivery for any reason (including if you simply change your mind). To do so you must notify the Supplier using the contact details provided in writing or other durable medium (including e-mail) within those 14 days. You will then be entitled to a refund from the Supplier, which will be paid as soon as possible, but in any event within 30 days. You must arrange for and pay the costs of returning the Goods to the Supplier. While in your possession, you must keep any Products you intend to return in good condition.
4.2 Products that cannot be returned:
- Books
- CD’s and DVD where the packaging seal is broken
- Cosmetic Products
- Earrings
- Flowers
- Food and perishable goods
- Lingerie and underwear and bikinis
- Personalised items
4.3 If:
4.2.1 the Shop Products delivered are not what you ordered, or do not correspond with the description given in the Shop; or
4.2.2 the Shop Products delivered are not of a satisfactory quality;
4.2.3 the Supplier will, at its option, deliver to you a replacement Product or refund to you the price paid and your reasonable costs of returning the Product.
4.4 If you have any complaints, you should direct them to the Supplier via the details given on your order.
5.
Personal Data
You authorise us to use, store or otherwise process any personal information which relates to and identifies you, including but not limited to your name and address, to the extent reasonably necessary to provide the services which are available through Our Website by us.
6.
Sales outside of the UK
The Supplier makes no representations and gives no warranties, express or implied that making the Products available in any particular jurisdiction outside the UK is permitted under any applicable non-UK laws or regulations. Accordingly, if making any Product available in your jurisdiction or to you (by reason of nationality, residence or otherwise) is prohibited, those Products are not offered for sale to you. You accept that if you are resident outside the UK, you must satisfy yourself that you are lawfully able to purchase the Products. The Supplier accepts no liability, to the extent permitted by applicable law, for any costs, losses or damages resulting from or related to the purchase or attempted purchase of the Products by persons in jurisdictions outside the UK or who are nominees of or trustees for citizens, residents or nationals of other countries.
7.
Liability
7.1 The Supplier promises that:
7.1.1 The Supplier has the right to sell the Product to you;
7.1.2 The Product will correspond with the description we have given to you in the Shop; and
7.1.3 The Product will be of satisfactory quality;
7.2 The Supplier excludes all other express or implied terms, conditions, warranties, representations or endorsements with regard to the Products.
7.3 The Supplier accepts no liability for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business (whether direct or indirect) in each case, however caused, even if foreseeable as the result of you purchasing a Product.
7.4 If the Supplier is liable to you for any reason such liability will be limited to the amount paid by you for the Product. This limit does not apply to any liability for death or personal injury resulting from the Supplier’s negligence or fraudulent misrepresentation.
7.5 The limitations and exclusions in this clause do not affect your non-excludable statutory rights and only apply to the extent permitted by applicable law.
8.
General
8.1 These terms and conditions are the whole agreement between you and the Supplier. You acknowledge that you have not entered into this agreement in reliance upon any statement, warranty or representation made by the Supplier or any other person and you irrevocably and unconditionally waive any rights to claim damages and/or to rescind these terms and conditions by reason of any misrepresentation (other than a fraudulent misrepresentation) that is not contained in the terms and conditions, privacy policy, order form and payment method instructions.
8.2 If any provision or term of these terms and conditions shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such term or provision shall be divisible from the other terms and conditions and shall be deemed to be deleted from them.
8.3 These terms and conditions are governed by English law and you submit to the exclusive jurisdiction of the English court.
8.4 These terms and conditions do not confer any rights on any person or party (other than you and/or us) pursuant to the Contracts (Rights of Third Parties) Act 1999.

Notices
9.1 All notices shall be given to the email or postal address supplied by you and the Supplier whilst carrying out the purchase of the Products
9.2 Notice will be deemed received when an e-mail is received in full (or else on the next business day if it is received on a weekend or a public holiday in the place of receipt) or 3 days after the date of posting.
